Acceptance

Welcome to RiseWeb. By using our site or hiring us for digital design and development services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not engage our services.

How We Work

We define the specific details of our work—including timelines, deliverables, scope, and costs—in a Statement of Work (SOW) or a Retainer Agreement. If the terms in your signed contract differ from these website terms, the contract takes precedence and governs our engagement.

Every project is unique. We invest time in discovery and planning to ensure we understand your goals, audience, and constraints before we begin design and development work.

Payments

Project-Based Work

For project-based engagements, we bill in stages tied to deliverables. A typical project structure includes:

  • Deposit to initiate the project
  • Payments at major phase milestones (design approval, development stage, pre-launch)
  • Final payment due upon project completion and delivery

Retainer Services

Monthly retainer services are billed at the beginning of each month. Your retainer covers the agreed-upon hours and services outlined in your Retainer Agreement.

Invoice & Payment Terms

  • Due Dates: Invoices are due upon receipt unless your contract specifies different terms.
  • Late Payments: Payments not received within 30 days of the invoice date may be subject to a 1.5% monthly interest charge and may suspend ongoing work until payment is received.
  • Payment Methods: We accept bank transfers, credit cards, and other methods outlined in your contract.

Refunds Policy

Refund eligibility and policies are defined in your Statement of Work or Retainer Agreement. Generally, fees are non-refundable once payment is received and work has commenced. However, if we fail to deliver the agreed-upon services, refund terms as specified in your contract will apply.

Who Owns What

Our Background Technology

RiseWeb retains ownership of our pre-existing code, tools, methodologies, frameworks, and design systems—collectively called "Background Tech." This includes components, patterns, and techniques we've developed across our experience.

You receive a non-exclusive, permanent license to use this Background Tech as it's incorporated into your custom project. You may not extract, resell, or redistribute our Background Tech independent of your project.

Your Custom Work

Upon final payment in full, you own the custom design, code, and creative work that RiseWeb created specifically for your project. This includes custom designs, custom-written code (excluding Background Tech), custom animations, and project-specific content.

Until final payment is made, all work remains the property of RiseWeb. We may use unpaid work as portfolio examples until payment is received.

Third-Party Licenses

Software, plugins, libraries, and assets purchased or licensed from third parties are subject to their respective licenses. You assume responsibility for compliance with those licenses once the project is delivered.

Legal Provisions

Limitation of Liability

RiseWeb commits to delivering quality work within our professional scope. However, we must limit our liability to protect both parties. Our total liability for any claim, regardless of cause, is capped at the total amount you paid us in the six months prior to the claim.

We are not liable for:

  • Lost profits, revenue, or business opportunities
  • Lost or corrupted data
  • Indirect, incidental, or consequential damages
  • Third-party claims or external breaches beyond our control

Indemnification

You agree to indemnify and hold harmless RiseWeb from any legal claims, damages, and costs (including attorney fees) arising from:

  • Your content, data, or materials you provide to us
  • Your use of the deliverables in violation of applicable laws
  • Your infringement of third-party intellectual property rights
  • Any modifications you make to our deliverables

Jurisdiction & Governing Law

These Terms of Service are governed by the laws of the State of California, without regard to its conflicts of law principles. Any disputes arising from or relating to this agreement shall be resolved in the state and federal courts located in San Diego County, California, and you consent to the exclusive jurisdiction of these courts.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during our engagement, except as required by law or court order. This includes your business strategies, designs (before launch), and our methodologies.

Modifications to Terms

We may update these Terms of Service at any time. Changes take effect upon posting. Your continued engagement with RiseWeb after updates constitute acceptance of the revised terms.
